(a)
General Release. In exchange for the Severance Payment, the vesting of your stock
options, and the other consideration to be provided to you under this Agreement which you would not
otherwise be entitled to receive, you hereby generally and completely release the Company, and each of
its parents, subsidiaries, successors, predecessors, affiliates, partners, partnerships, officers, directors,
agents, servants, employees, members, managers, managing members, attorneys, shareholders, and
assigns, of and from any and all claims, liabilities, demands, causes of action, costs, expenses, attorney’s
fees, damages, indemnities and obligations of every kind and nature, in law, equity, or otherwise, known
and unknown, suspected and unsuspected, arising out of or in any way related to agreements, events,
acts or conduct at any time prior to and including the date you sign this Agreement (the “Released
Claims”). The Released Claims include, but are not limited to: (i) all claims directly or indirectly arising out
of or in any way connected with your employment with the Company and the termination of that
employment relationship; (ii) claims or demands related to salary, bonuses, fees, retirement
contributions, profit-sharing rights, commissions, stock, stock options, or any other ownership or equity
interests in the Company or any affiliated entities, vacation pay, fringe benefits, expense reimbursements,
severance pay, or any other form of compensation or benefit; and (iii) claims pursuant to any federal,
state or local law, statute or cause of action in any jurisdiction, including, but not limited to, the federal
Civil Rights Act of 1964, the federal Americans with Disabilities Act of 1990, the California Fair Employment
and Housing Act, the California Labor Code, tort law, contract law, wrongful discharge, discrimination,
harassment, fraud, defamation, emotional distress, and breach of the implied covenant of good faith and
fair dealing.
(b) Additional Release. In exchange for the Severance Payment, the vesting of your Stock
Options and the other consideration to be provided to you under this Agreement which you would not
otherwise be entitled to receive, you hereby release Bryan R. Johnson and all entities owned, controlled
or managed by him and each of their respective parents, subsidiaries, successors, predecessors, affiliates,
partners, partnerships, officers, directors, agents, servants, employees, members, managers, managing
members, attorneys, shareholders, and assigns, from all obligations, liens, contracts, agreements,
promises, liabilities, claims, demands, damages, losses, costs, or expenses of any nature whatsoever,
known or unknown, suspected or unsuspected, fixed or contingent, whether having already accrued or
not yet accrued, whether arising in law or equity, that you may have as of the date of execution of this
Agreement.
(c)
Exceptions. You are not waiving any rights you have under this Agreement or any claims
that cannot be waived under applicable state or federal law. You are not releasing any rights that you
have to be indemnified arising under applicable law, the certificate of incorporation or by-laws (or similar
constituent documents) of the Company, any indemnification agreement between you and the Company,
or any directors’ and officers’ liability insurance policy of the Company.
(d) Section 1542 Waiver. In giving the general release of claims set forth above, which
includes claims which may be unknown to you at present, you acknowledge that you have read and
understand Section 1542 of the California Civil Code, which reads as follows: “A general release does not
extend to claims which the creditor does not know or suspect to exist in his or her favor at the time of
executing the release, which if known by him or her must have materially affected his or her settlement
with the debtor.” You hereby expressly waive and relinquish all rights and benefits under that section
and any law of any other jurisdiction of similar effect with respect to your release of claims contained
herein, including but not limited to your release of any unknown or unsuspected claims.
